Entity Overview
Photon Energy Assets LLC is a Colorado limited liability company headquartered at
9869 E Easter Ave, Centennial, CO 80112. The company serves as a third-party owner and provider of Energy Service Agreements (ESAs) for residential solar and battery systems installed by authorized partners such as Photon Brothers.
Photon Energy Assets retains ownership of the systems during the service term and provides operational, monitoring, and maintenance services in accordance with each executed ESA.
Energy Service Agreement Summary
Customers who prepay for Energy Services enter into an Energy Service Agreement (“ESA”) with Photon Energy Assets LLC.
Under the ESA:
- Photon Energy Assets purchases the installed system from the installer following completion and permission to operate.
- The company owns, operates, insures, and maintains the system throughout the Initial 15-year term.
- Customers receive the benefits of battery performance and energy services during that period.
- At the end of the term, customers may (1) purchase the system, (2) renew for five additional years, or (3) request removal at no cost.
Ownership transfers only under the terms of Article 7 of the ESA, and customers are notified in writing of their purchase or renewal options prior to the end of the service term.
Ownership and System Rights
Throughout the ESA term:
- Photon Energy Assets LLC retains legal ownership of the solar and/or storage system.
- The homeowner may not transfer, modify, or remove the system without prior written consent.
- Customers receive the benefits of battery performance and energy services during that period.
- All federal tax credits, depreciation benefits, and renewable energy certificates remain the sole property of Photon Energy Assets LLC.
Privacy and Data Use
Photon Energy Assets collects limited data related to system operation, energy production, and communications under Exhibit C – Data Usage and Disclosure of the ESA.
According to the ESA, the company:
- May use system performance data for monitoring, maintenance, research, and compliance.
- Does not sell or disclose personally identifiable information except as required by law or to fulfill operational obligations.
- May disclose non-personalized or aggregated data to service providers, insurers, financing partners, or regulators.

Dispute Resolution
The ESA includes a binding arbitration clause (Article 19) requiring that most disputes be resolved through arbitration administered by JAMS, with proceedings conducted near the property where the system is installed.
Both parties waive the right to a jury trial or class action to the fullest extent permitted by law.
